1. Who we are and what these terms cover

Providence Outdoor Furniture is a trading division of Fundamental Designs (Pty) Ltd ("we", "us", "our"). We make furniture to order, and we take our responsibility to our customers seriously — we undertake to be honest and sincere in the service we render.

These terms apply to every order you place with us. They form the agreement between you and us once you accept a quotation and pay your deposit. Nothing on our website is an offer to sell — orders are placed and confirmed in writing on a quotation.

These terms do not take away your rights under the Consumer Protection Act 68 of 2008. Where anything in these terms conflicts with that Act, the Act applies.

Your use of our website is governed separately by our Website Terms of Use, and your personal information by our Privacy Policy.

2. Quotations and prices

  • Quotations are valid for 30 days from the date of issue, unless the quotation states otherwise.

  • Prices include VAT at the prevailing rate (currently 15%). They exclude delivery unless the quotation says delivery is included.

  • Any price shown on our website is a guide only. The price in your written quotation is the price that applies to your order.

  • If VAT or any other tax changes between the date of your quotation and the date of your final invoice, we may adjust the price accordingly. We will tell you before we do.

3. Placing an order and paying for it

  • To place an order, you accept your quotation in writing and pay a deposit of 50% of the order value.

  • The balance is payable in full once your furniture is complete, before delivery or collection.

  • We accept payment by electronic transfer or cash.

  • You are welcome to make an appointment to inspect your furniture at our factory before you pay the balance.

  • Please make sure the contact details, delivery address and specifications on your order are correct. If they are wrong, delays or additional charges may follow.

4. Ownership

The furniture remains ours until you have paid for it in full. Ownership passes to you when we receive your final payment.

5. Overdue payment

  • If your final invoice is not paid within 10 working days of the date it is issued, storage fees begin to run (see clause 15).

  • If your final invoice is not paid in full within 14 days of the date it is issued, we may sell your furniture to someone else and refund your deposit less any costs we have already incurred.

  • Agreeing to give you more time to pay does not affect any of our other rights under this agreement.

6. About the furniture we make

We work in solid timber. Timber is a natural material, and that has consequences worth understanding before you order.

  • Photographs and descriptions on our website and in our catalogues are a guide. Your piece will not be identical to the photograph.

  • Colour and grain vary from board to board and from our samples. Features such as knots and natural cracks are characteristic of solid timber and are not defects.

  • We will make every effort to match a colour you have specified, but we cannot guarantee an exact match.

  • Solid timber moves with changes in humidity and temperature. We are not responsible for shrinkage or warping that occurs after delivery where the furniture has been maintained as we recommend, though your rights in clause 14 still apply.

  • Please read our Care and Maintenance guide before your furniture is delivered.

7. Our guarantee

  • We guarantee the workmanship on our furniture for 12 months from the date of delivery.

  • This guarantee does not cover damage caused by misuse, accident, or failure to maintain the furniture in line with our Care and Maintenance guide.

  • For guarantee claims made more than six months after delivery, you are responsible for the cost of getting the furniture to us and back. Within the first six months, we carry that cost as the Consumer Protection Act requires.

8. Outdoor use and finishes

Our furniture is made for outdoor use, but no finish survives the outdoors untended — including on a covered patio. Sun, rain and temperature will affect any finish over time.

We cannot guarantee the finish on furniture used outdoors. You agree either to maintain the finish yourself in line with our Care and Maintenance guide, or to arrange maintenance with us at our then-current rates.

9. Delivery

  • Once your final payment reflects, we will contact you to arrange a delivery time that suits you.

  • Please unwrap and inspect your furniture on delivery, and note any visible damage on the delivery note before you sign it. This lets us deal with transit damage quickly. Signing the delivery note does not affect your rights in clause 14 for problems that were not visible at the time of delivery.

  • You are responsible for making sure the property is suitable for delivery — that the furniture can physically reach where it needs to go. If special access is needed, such as hoisting or scaffolding, the cost is for your account and is not included in our quoted price.

  • We are not a furniture removal company. We will not move your existing furniture around the property or remove old furniture.

  • We take care during delivery, but moving large items through a property carries some unavoidable risk to paintwork, plaster, flooring and landscaping. Where damage is caused by our negligence, we will put it right.

  • If your order is delivered in more than one consignment, each item is payable before it is delivered, and a delivery charge applies to each delivery.

  • If we cannot complete delivery after three attempts, the furniture returns to our factory and goes into storage (see clause 15). You will then need to arrange collection from the factory during our working hours.

10. Collection from our factory

  • Please arrange an appointment with a salesperson before collecting. Our hours are Monday to Friday, 09:00–16:30.

  • We will need a copy of your order and identification for the person collecting.

  • If you are sending a courier, please arrange this with a salesperson in advance and make sure the collection falls within our working hours.

11. Using your own transport contractor

If you arrange your own transport contractor to collect from us:

  • You make the arrangements with the contractor yourself, at your own risk, including any insurance.

  • The contractor acts as your agent, not ours.

  • Payment for the furniture is due in full before we release it to the contractor.

12. Delays

  • We will do everything we reasonably can to deliver by the date on your order, but that date is an estimate, not a guarantee.

  • We are not liable for losses caused by late delivery, or for any delay that is beyond our reasonable control.

  • If we have missed the estimated delivery date and you want to cancel, please first write to us demanding delivery. We then have 14 days from receiving your letter to deliver before you may cancel on that basis.

13. Returns, defects and your rights

If something is wrong with your furniture, the Consumer Protection Act gives you six months from delivery to return it. You may choose whether we repair it, replace it, or refund you. This applies to all our furniture, including items bought on sale.

Please tell us as soon as you notice a problem — within 5 working days of delivery or collection for damage that was visible on arrival. Reporting early helps us establish what happened, but it does not limit the six-month right above.

If you simply change your mind about a stock item, we will accept it back within 5 working days of delivery or collection, provided it is unused and returned in its original packaging. We will inspect it and refund you. Refunds in this case do not include the original delivery cost, and if you need us to collect the item, a collection fee applies.

Items bought on sale cannot be returned or exchanged if you change your mind. Your rights for defects are unaffected — unless we told you about a specific mark or fault before you bought, and you agreed in writing to take the item in that condition. In that case the fault we told you about is excluded, but anything else is not.

Furniture made to your specification cannot be returned because you have changed your mind. Your rights for defects are unaffected.

14. Storage fees

If furniture has to be stored at our factory because of a delay you have caused — including unpaid final invoices and failed deliveries — we charge a storage fee of R500.00 per item per day.

15. Photography

We may photograph the furniture we make for you and use those photographs to promote our work. We will not identify you or your property by name without your permission.

16. Notices and disputes

  • You agree that we may deliver legal notices to the physical address you give us on your order, and that this address is your chosen address for legal purposes. Ours is 53 4th Street, Wynberg, Sandton, 2090.

  • If a dispute arises between us, we would like the chance to resolve it directly first. Please contact us.

  • You may also refer a dispute to the Consumer Goods and Services Ombud (0860 000 272, info@cgso.org.za, www.cgso.org.za) or to the National Consumer Commission, at no cost to you.

  • If a dispute goes to court, both of us consent to the jurisdiction of the Magistrate's Court of Johannesburg.

17. General

  • These terms, together with your quotation, are the whole agreement between us. No other condition, promise or guarantee — from us or from anyone acting for us — is binding unless we have both agreed to it in writing.

  • If you owe us money and we have to recover it, you are responsible for our reasonable legal costs and costs of collection.

  • We may update these terms. The version that applies to your order is the version in force on the day you accepted your quotation.
